"ClarityQ" refers to ClarityQ Ltd, registered in England and Wales (Company No. 17072041), with registered address at 71-75 Shelton Street, London, WC2H 9JQ.
"Platform" refers to the ClarityQ clinical analytics platform, including all search templates, dashboards, and related tools.
"Search Templates" refers to clinical search queries, protocols, and templates provided through the Platform, including the MegaLibrary, GP Clinical Suite, and standard search template library.
"Clinical System" refers to EMIS Web, SystmOne (TPP), or any other clinical system to which Search Templates may be exported.
"Subscriber" refers to the organisation (GP practice, PCN, ICB, or pharmacy) that holds an active ClarityQ subscription.
"Authorised Users" refers to individuals with login credentials provided by the Subscriber's administrator.
"Subscription Period" refers to the period during which the Subscriber has an active, paid subscription.
2.1. ClarityQ grants the Subscriber a non-exclusive, non-transferable, revocable licence to use the Platform and Search Templates during the Subscription Period.
2.2. All Search Templates, clinical logic, algorithms, and content remain the exclusive intellectual property of ClarityQ Ltd. No ownership rights are transferred to the Subscriber.
2.3. The licence is granted solely for the Subscriber's internal clinical use and may not be sublicensed, resold, or distributed to third parties.
2.4. Each Search Template export includes a unique traceable watermark linked to the exporting user and organisation for compliance tracking.
3.1. Search Templates and any custom/bespoke templates are scoped to the subscribing organisation. Templates assigned to one organisation are not accessible to other organisations.
3.2. All template access, export, and download events are recorded in an immutable audit log, including the user identity, organisation, timestamp, clinical system, and export watermark.
3.3. The Subscriber must not share, copy, forward, or redistribute Search Templates to any individual or organisation outside of their own Authorised Users.
3.4. The Subscriber must not reverse-engineer, decompile, or attempt to extract the underlying clinical logic from Search Templates.
3.5. Any breach of clauses 3.3 or 3.4 will result in immediate termination of the licence and may result in legal action for intellectual property infringement.
4.1. The Subscriber may export Search Templates to their Clinical System (EMIS Web or SystmOne) only during the active Subscription Period.
4.2. Upon expiry, cancellation, or non-renewal of the subscription:
4.3. If the Subscriber fails to delete Search Templates within 30 days, ClarityQ may:
4.4. Where direct API integration with the Clinical System is available, ClarityQ may automatically disable or remove deployed Search Templates on subscription expiry.
4.5. ClarityQ will provide reasonable assistance and documentation to help the Subscriber remove templates from their Clinical System.
5.1. Subscriptions are billed on a per-user, per-month basis at the prevailing rate for the Subscriber's organisation type.
5.2. Current pricing: £55/user/month (GP Practice), £50/user/month (PCN), £45/user/month (ICB).
5.3. ClarityQ reserves the right to adjust pricing with 90 days' written notice.
5.4. Billing is managed through Stripe. Invoices are issued monthly and payable by bank transfer (BACS) or card.
5.5. Adding or removing users mid-cycle results in pro-rata adjustments to the next invoice.
6.1. The Platform must be used solely for legitimate clinical purposes within the NHS or UK healthcare system.

7.1. ClarityQ Ltd is the Data Processor. The GP practice or NHS organisation that commissions the Platform is the Data Controller. ClarityQ processes personal data solely on documented instructions from the Data Controller, as defined in the Data Processing Agreement (DPA) within the Master Licence Agreement.
7.2. All data is processed and stored within the UK (AWS eu-west-2, London region). No international data transfers take place.
7.3. ClarityQ does not process patient-identifiable data. All clinical analytics use anonymised, aggregated data. The Platform includes automated PII detection and stripping on free-text input fields.
7.4. The Data Controller (GP practice) is responsible for ensuring they have a lawful basis for any data processed through the Platform.
7.5. Data retention: Audit logs, processing records, system logs, and incident records are retained for 7 years in accordance with the NHS Records Management Code of Practice. Clinical scribe audio is never stored — ephemeral processing only.
8.1. ClarityQ maintains a comprehensive audit trail of all template access, export, and download events.
8.2. Audit records include: user identity, organisation, template ID, action type, timestamp, IP address, and export watermark.
8.3. Audit logs are retained for a minimum of 7 years in accordance with the NHS Records Management Code of Practice 2021.
8.4. The Subscriber's administrator may access audit logs for their organisation through the Admin > Audit Log section of the dashboard.
8.5. ClarityQ may share audit data with regulatory bodies (e.g. ICO, NHS England) where required by law.
9.1. Either party may terminate the subscription with 30 days' written notice.
9.2. ClarityQ may terminate immediately if the Subscriber breaches these Terms, particularly clauses 3 (Organisation Isolation), 4 (Template Deletion), or 6 (Acceptable Use).
9.3. On termination, the obligations in clause 4 (Template Deletion) apply in full.
9.4. The Subscriber may export their own data (CSV imports, dashboard data) during the 7-day grace period following subscription expiry.
10.1. ClarityQ Search Templates are provided as clinical decision support tools and do not constitute medical advice.
10.2. Clinical decisions remain the responsibility of the registered clinician. ClarityQ accepts no liability for clinical outcomes arising from the use of Search Templates.
10.3. ClarityQ's total liability under these Terms is limited to the fees paid by the Subscriber in the 12 months preceding the claim.
11.1. These Terms are governed by the laws of England and Wales.
11.2. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
